1) Introduction:

Welcome to Ultimate Face Off Competition (“UFOC,” “we,” “our,” or “us”). These Terms & Conditions (“Terms”) govern your access to and use of the UFOC app, website, and related services (the “Platform”). By creating an account or using the Platform, you agree to these Terms and to our Privacy Policy.

UFOC is a skill-based competition platform and is not a gambling app. Users do not place bets or wagers, and outcomes do not rely on chance or odds. Rankings are determined by user votes and other performance/engagement factors described in these Terms. Purchases on the Platform (including Tokens/Credits) are for access to digital features and participation tools and are not staked, wagered, or risked for a payout.

Sweepstakes/contests offered through the Platform (if any) are sponsored by UFOC, and official rules will be presented in-app. Apple is not a sponsor and is not involved in any manner.

1.1 Key Definitions:

“Skill Reward Pool”: A published, informational estimate of the rewards that may be allocated for a category/cycle based on participation, promotions, sponsorships, and other business factors. It is not a wager pool, jackpot, or betting pot, and it is not guaranteed.

“Performance Rewards”: Rewards that may be issued to eligible users based on skill/engagement outcomes (e.g., votes, ranking) and verification requirements.

“Tokens/Credits”: Virtual items used to access Platform features (e.g., entries/participation). Tokens/Credits are not wagers, have no cash value, and are non-transferable.

“Not Gambling”: The Platform does not offer betting, wagering, odds, or chance-based games. Outcomes are determined by performance criteria described in these Terms.

2) Eligibility & Accounts:

2.1 Minimum Age. You must be at least 13 to use the Platform. Certain categories marked 18+ (e.g., “Exotic Dancing”) are restricted to users 18 or older. UFOC uses in-app flows to age-gate +18 categories.

2.2 Parental Consent for Purchases (Under 18). Users under 18 must obtain parental/guardian consent for purchases (affirmed via in-app consent checkbox).

2.3 Account Security. You’re responsible for the accuracy of your information and for maintaining the security of your credentials. Notify us immediately of any unauthorized access.

2.4 One Person, One Account. Do not create multiple accounts to evade limits, suspensions, or eligibility rules.

3) Content & Intellectual Property:

3.1 Your Ownership; License to UFOC. You own the content you upload to the Platform (“User Content”). You grant UFOC a worldwide, non- exclusive, royalty-free, transferable, sublicensable, perpetual license to host, store, cache, reproduce, adapt, publish, transmit, display, distribute, and create derivative works of your User Content for:

- operating and improving the Platform (functional/technical use), promotional/marketing use (including across UFOC’s sites, apps, and social channels), internal business operations (quality, training, security), and legal purposes (e.g., responding to complaints, enforcing policies, complying with law).

- To the extent permitted by law, you agree not to assert (and to waive) any moral rights against UFOC for the above uses.

3.2 AI-Generated Content. Uploading AI-generated or AI-assisted content is allowed. However AI-generated content can only compete against other AI-generated content. This will be moderated by the UFOC team, unfair AI against human competitions we'll be immediately removed and may result in suspesions or bans from the platform .

3.3 Third-Party Rights. You must have all necessary rights to upload your content (e.g., music, logos, clips). Do not infringe copyrights, trademarks, publicity/privacy rights, or other IP.

3.4 Removal Rights. UFOC may remove or restrict content that violates these Terms or the law, or that we reasonably deem unsafe or harmful.

4) Community Standards, Moderation & Enforcement:

4.1 Prohibited Content/Conduct. harassment, threats, illegal or dangerous activities, sexual content involving minors (zero tolerance), explicit nudity outside 18+ categories, doxxing, spam/scams, or IP infringement. See also Section 3.

4.2 18+ Categories. Only available to verified 18+ users. No additional visibility controls exist yet; users may encounter mature themes within those categories.

4.3 Moderation Tools. Content is moderated via in-app flows and user reporting. We may use automated screening plus human review. Users can report content; UFOC sets triage times at its discretion.

4.4 Enforcement Ladder. Typical sequence (subject to immediate escalation for severe violations):

(i) up to 2 warnings, (ii) up to 2 suspensions, (iii) ban. UFOC may skip steps for egregious or repeated misconduct.

5) Geography & Free Entry Compliance:

5.1 Restricted States. To maintain compliance, users located in Arizona, Iowa, Louisiana, Montana, South Carolina, and Washington (“Restricted States”) may only participate via the Free Alternative Method of Entry (FAME) described below.

5.2 Geo Enforcement. UFOC may use IP checks and other signals. Attempts to circumvent geo restrictions (e.g., VPNs) may result in suspension or ban.

5.3 FAME (Free Mode in Restricted States). Users in Restricted States may join competitions without purchase. Free-mode participants are not eligible for Performance Rewards / Rewards but otherwise follow standard rules.

6) Modes, Cycles & Rankings:

6.1 Competition Cycle. Competitions run in six-month cycles. After each cycle, challenges move to a slider/archive view; votes remain visible.

6.2 Ranking & Tie-Breaker. The top three users (1st/2nd/3rd) per category are determined by total votes earned during the cycle. Tie-breaker: higher likes wins.

6.3 Free Mode (No Performance Rewards / Rewards). Eligible uploads: up to 18 per six-month cycle, max duration 2 minutes. Not eligible for Performance Rewards / Rewards.

6.4 Paid Mode (Prize Eligible). Users in paid-mode can compete unlimited times in a 6-month cycle, the amount of active competitions will determine a user's bracket and therefore rewards

6.5 Late Entry. Users joining mid-cycle may compete only for the remaining time in that cycle.

6.6 Booster Credits (Visibility-Only). “Booster Credits” increase displayed vote totals (e.g., “+50 display votes per booster”) for visibility/branding only. They do not affect rankings, leaderboards, placements, or prize eligibility and must not be used in calculating winners. UFOC will visually distinguish “display/booster” totals from real votes used for rankings.

7) Tokens, Purchases & Refunds:

7.1 Tokens. Tokens are virtual items used for competition entries. Tokens have no cash value outside the Platform, are non-transferable, and cannot be redeemed for cash.

7.2 Purchases. Tokens may be purchased in-app or via our website. Pricing may differ by platform due to fees and taxes. For users under 18, parental/guardian consent is required.

7.3 Refunds. All token purchases are final and non-refundable once delivered, except UFOC may, in its sole discretion, remedy accidental duplicate purchases (e.g., by issuing replacement tokens/credits). Purchases via third-party storefronts (Apple App Store/Google Play/Stripe) are subject to that storefront’s refund rules.

7.4 No Expiration. Tokens do not expire and may roll over to subsequent cycles.

7.5 Fraud & Chargebacks. UFOC exclusively determines the outcome of purchase disputes. Any chargeback, dispute, or suspected fraud may result in immediate suspension pending investigation and can lead to a permanent ban and referral to authorities.

8) Rewards, Verification & Payouts:

8.1 Certain competitions may offer Performance Rewards to eligible users. Reward eligibility is based on compliance with these Terms, the applicable competition rules, and verification requirements (age/identity/location as needed). Rewards are not guaranteed, may change over time, and may be withheld or forfeited if eligibility cannot be confirmed.

8.2 Skill Based Rewards Split. The Performance Rewards for each category will be split in the following manner: App providers (30%), UFOC (31%), first place (20%), second place (11%), third place (8%).

8.3 Payout Methods. UFOC may pay via Stripe Connect, PayPal, ACH/Wire, Cash App, or other reasonable rails. Availability may vary by region.

8.4 Winner Verification. UFOC may require identity/age verification and geographic eligibility confirmation before paying Performance Rewards / Rewards. Failure to provide required information may forfeit Performance Rewards / Rewards.

8.5 Taxes / Forms / Withholding. TBD by Client. (Insert applicable forms—e.g., W-9/W-8BEN, 1099-NEC thresholds—, withholding rules, and user responsibilities once provided.)

8.6 Unclaimed Performance Rewards / Rewards. If a prize cannot be paid within a reasonable time due to user inaction or ineligibility, it may be forfeited at UFOC’s discretion.

8.7 No Wagering/No Betting. Users do not wager or stake anything of value on uncertain outcomes. Tokens/Credits are not bets, do not represent odds, and do not increase the likelihood of receiving rewards.

9) Voting, Likes & Mirrors:

9.1 Real Votes vs Booster Totals. Only real votes cast by users count toward rankings and winners. Booster Credit “display votes” never count toward rankings.

9.2 Mirrors & Compliance. UFOC may maintain per-category “mirror” vote tallies for analytics/awards. In certain cases (e.g., free-mode items, compliance exclusions), mirrors may be skipped.

10) Safety, Misuse & Termination:

10.1 Misuse. Prohibited conduct includes: evading geo/age rules, collusion, botting, vote manipulation, hate/harassment, illegal content, and IP infringement.

10.2 Action We May Take. We may remove content, limit features, suspend, or ban accounts to protect users and the Platform. We can take emergency actions without prior notice for severe risks.

10.3 Appeals. You may contact support to appeal moderation decisions. UFOC is not obligated to reinstate content or accounts.

11) DMCA & IP ComplaintsL

If you believe content infringes your rights, send a DMCA notice with: your contact details, identification of the work and infringing material, a statement of good-faith belief, and a statement under penalty of perjury that your notice is accurate, signed (electronic signature allowed).

UFOC may remove or disable access to alleged infringing content and may terminate repeat infringers.

12) Privacy:

Your use is also governed by our Privacy Policy (available on our website/app), which explains what we collect, how we use it, retention, rights, and choices.

13) Disclaimers & Limitation of Liability:

13.1 AS IS. The Platform is provided “as is” and “as available.” UFOC disclaims all warranties not expressly set out in these Terms.

13.2 Limitation. To the maximum extent permitted by law, UFOC will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, data, or goodwill, arising from or related to your use of the Platform.

13.3 Cap. To the extent liability cannot be disclaimed, UFOC’s total liability shall not exceed the greater of (i) USD $100 or (ii) the amounts you paid to UFOC in the six (6) months preceding the claim.

Some jurisdictions do not allow certain disclaimers/limits; these may not apply to you.

14) Indemnity:

You agree to defend, indemnify, and hold harmless UFOC and its affiliates, officers, directors, employees, and agents from any claims, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your User Content, your use of the Platform, or your violation of these Terms or applicable law.

15) Governing Law, Venue & Dispute Resolution:

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflicts rules. You agree to the exclusive jurisdiction and venue of state or federal courts located in or for Richmond, Virginia. Before filing suit, the parties will attempt good-faith informal resolution.

16) Changes to the Terms:

We may update these Terms from time to time. We will provide notice (e.g., in-app banner, email, or changelog). Your continued use after the effective date of revised Terms constitutes acceptance.
